1. Subscription, Fees & Cancellation

Membership is $250/month, billed automatically. The first month is due in full at signup before access is granted.

Recurring payments are charged monthly on or about the 1st of each calendar month. Members are responsible for keeping a valid payment method on file. Failed or declined payments may result in immediate suspension of access until the balance is paid.

Cancellation policy: your first membership can be cancelled at any time and remains active through the end of the paid billing period. If you cancel and later reactivate your membership, a 4-month minimum commitment applies before you may cancel again; any cancellation attempt during that commitment window will take effect only at the end of the 4-month term.

All fees are non-refundable — including for suspension, termination, voluntary cancellation, rule violations, dissatisfaction, reduced usage, or temporary closures. Memberships are non-transferable and may not be shared, resold, or assigned.

Pricing, benefits, and terms may be updated at Studio Lyfe's discretion with reasonable prior notice by email or in-app notice; continued use after changes take effect constitutes acceptance.

2. Auto-Renewal Authorization

By subscribing, you authorize Studio Lyfe (through its payment processor, Stripe) to automatically charge your payment method $250 per month, plus any applicable taxes, until you cancel. You acknowledge this is a recurring subscription that renews automatically and that you are responsible for all charges incurred prior to cancellation.

You may cancel at any time (subject to the commitment terms above) from your account page or by contacting Studio Lyfe.

3. Membership Hours

Community hours: 12:00 PM – 12:00 AM, Monday through Saturday.

Extended hours are reserved for paid studio sessions only. Studio Lyfe may modify hours, close portions of the facility, or restrict access for maintenance, private events, or paid bookings without prior notice.

4. Access & Priority of Use

Private sessions, paid bookings, management operations, official activities, special events, and maintenance always take priority over general member access.

Membership does not guarantee uninterrupted access to any specific room, equipment, or amenity, and does not create tenancy, ownership, lease, license, or partnership rights of any kind.

Members acknowledge that portions of the facility may be used by industry personnel and celebrity clientele for private projects and may be closed to members without notice.

5. Volume Policy

Play music at any reasonable level. If bleed into another session becomes an issue, members must reduce volume immediately upon request. Management has final authority on acceptable sound levels.

6. Room Use Policy

Rooms are shared community resources. During high demand, consecutive use of a single room is limited to 3 hours and members may be rotated at management's discretion.

Guests may not record. Personal belongings, equipment, and instruments may not be left overnight without written authorization. Studio Lyfe is not responsible for lost, stolen, or damaged property.

7. Private Sessions

Rooms remain open and collaborative unless reserved through an approved paid booking. Members may not block, monopolize, or claim exclusive use of any shared area without a booking.

8. Guest Policy

Guests are $10 for a half day (6 hours) or $20 for a full day (12 hours) and must stay in the room with the member(s) they arrived with. Guests may not record unless they pay full room rates. Members are fully responsible for the conduct, safety, and compliance of their guests.

9. Facility Use

The community is a professional creative environment. Loitering, sleeping in the facility, disruptive occupancy, or non-creative use of the space is prohibited. Management may remove anyone whose conduct interferes with the professional environment.

10. Member Conduct

Members agree to treat staff, members, guests, and equipment respectfully; follow all staff directions; respect the privacy of others; and avoid any illegal, violent, harassing, or unsafe conduct.

No weapons, physical altercations, unlawful activity, drug use in violation of applicable law, property damage, interference with booked sessions, or unauthorized representation as Studio Lyfe staff or ownership.

11. Media, Confidentiality & Security

The facility may be monitored by security cameras. Studio Lyfe may capture footage or images in common areas for security, promotional, or marketing purposes; members waive claims to incidental appearances and grant Studio Lyfe a perpetual, royalty-free right to use such incidental content.

Members may not record, livestream, photograph, distribute, or publicly discuss unreleased music, private sessions, works in progress, celebrity or industry clientele, non-public business activity, or confidential materials without express prior written authorization. Confidentiality obligations survive termination of membership.

12. Intellectual Property

Members retain ownership of their own original creative works. Studio Lyfe does not claim rights to member-created content produced during community sessions. Studio Lyfe is not a party to, and is not liable for, any IP dispute between members, collaborators, guests, or third parties.

Studio Lyfe's name, logos, brand assets, and facility likeness are property of Studio Lyfe and may not be used commercially without written consent.

13. Liability, Assumption of Risk & Indemnification

Use of the facility is voluntary and at the member's own risk. Studio Lyfe is not liable for lost or damaged property, personal injuries, illness, technical failures, scheduling conflicts, other members' or guests' actions, equipment malfunctions, business losses, lost profits, data loss, or IP disputes between members.

To the maximum extent permitted by law, Studio Lyfe's total aggregate liability arising from or related to this Agreement or your membership shall not exceed the total membership fees you paid in the three (3) months preceding the claim. Studio Lyfe shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages.

Members agree to release, defend, indemnify, and hold harmless Studio Lyfe, its owners, operators, employees, contractors, and affiliates from any and all claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to their membership, use of the facility, conduct of their guests, or breach of this Agreement.

14. Disclaimer of Warranties

The facility, equipment, and services are provided on an "AS IS" and "AS AVAILABLE" basis. Studio Lyfe disclaims all warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. No representation is made as to any specific outcome, career result, or commercial success.

15. Termination & Revocation

Violating any community rules may result in immediate suspension or revocation of membership without refund. Studio Lyfe has sole discretion over enforcement, discipline, and termination decisions and may terminate any membership for any reason, with or without cause, at any time.

16. Professional Environment

Studio Lyfe curates a high-level professional and creative atmosphere. Conduct that negatively impacts the culture, reputation, privacy, exclusivity, safety, or collaborative environment may result in suspension or termination.

17. Payment Disputes & Chargebacks

By subscribing you acknowledge that all charges are authorized and, where applicable, non-refundable. Initiating a chargeback for a valid, authorized charge is considered a breach of this Agreement and may result in immediate termination of membership and collection of the disputed amount plus reasonable administrative fees.

Billing questions should be directed to Studio Lyfe first — we will work in good faith to resolve any legitimate concern.

18. Governing Law, Venue & Dispute Resolution

This Agreement is governed by the laws of the State of California, without regard to conflict-of-laws principles. The exclusive venue for any dispute not subject to arbitration shall be the state or federal courts located in Los Angeles County, California.

The parties will first attempt in good faith to resolve any dispute informally within thirty (30) days of written notice. Any unresolved dispute shall be finally resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, in Los Angeles County, California, in English.

Class action & jury waiver: To the maximum extent permitted by law, both parties waive any right to a jury trial and to participate in a class, collective, or representative action. Disputes must be brought individually.

19. Force Majeure

Studio Lyfe is not liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, natural disasters, fire, flood, pandemic, government orders, utility failures, labor disputes, war, terrorism, or civil unrest. Fees remain non-refundable during such events.

20. Eligibility & Electronic Signature

You represent that you are at least 18 years old and legally able to enter into this Agreement. By checking the agreement box and clicking Subscribe, you are providing an electronic signature that is legally binding and has the same effect as a handwritten signature under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN) and applicable state law.

You consent to receive all notices, disclosures, and agreements related to your membership electronically at the email associated with your account.

21. Assignment, Severability & Entire Agreement

You may not assign or transfer this Agreement without Studio Lyfe's written consent. Studio Lyfe may assign this Agreement at its discretion. If any provision is held unenforceable, the remaining provisions remain in full force and effect, and the unenforceable provision shall be modified to the minimum extent necessary to be enforceable.

This Agreement, together with any policies referenced herein, constitutes the entire agreement between the parties regarding membership and supersedes any prior verbal or written agreements. Studio Lyfe's failure to enforce any provision is not a waiver of that provision.
